Introduction. This agreement (“Agreement”) between You and Vovo Group, Inc. (“VOVOComm”) consists of these VOVOComm Premium Rate Numbers Service (the “Service”) Standard Terms and Services (“Terms and Service”). A description of the Service, as generally offered by VOVOComm, is available also at the Frequently Asked Questions (“FAQ”) URL, located at http://www.vovocomm.com/index.php/faq/, or such other URL as VOVOComm may provide occasionally. “You” or “Service Provider” means any entity identified in an enrollment form submitted by the same or affiliated persons, and/or any agency or network acting on its (or their) behalf, which shall also be bound by the terms of this Agreement.

By using our Service, you are agreeing to these terms. Please read them carefully.

Terms and Conditions

1.  Premium Rate Number Services

1.1 Definition of the Service

The Service is designed to allow you to generate revenues from voice programs by providing you premium rate number (s).
Sales are initiated by and charged to end users through their existing fixed telephone and mobile telephone bills.

The Service Provider collects the revenue accordingly the payment term of each international premium rate telephone number provided by VOVOComm.

1.1 Identifying international premium rate service calls

International premium rate service calls are calls to certain numbers which are typically prefixed by “00”.

The service provider can offer information and entertainment through a variety of media including phone, fax, Internet, mobile and TV.

Services range from sports results, voting and adult entertainment to competitions, chat lines, horoscopes, business information services and all other activity not prohibited by law.

International premium rate service calls may be charged at a higher rate than standard calls.

1.2  Parties’ Responsibilities. 

You are solely responsible for the Service(s), including all the content, maintenance, operation and numbers given to you. You are also responsible for all actions that may be result by reselling this numbers to third parties.

You must inform VOVOComm for any suspicious traffic that may be considered as Fraud, Hacking and etc.
VOVOComm do not participate to any service that Service Provider is providing.

VOVOComm is only providing international premium rate numbers to the Service Provider (s).

Be aware that this numbers are not owned directly by VOVOComm and VOVOComm not guarantee of the quality of the service.

VOVOComm will not pay for any traffic that may be considered as Fraud, Hacking and etc.

Each party has also the right to block all services with immediate effect if there’s any reason to consider the traffic as Fraud, Hacking etc.

The Parties agree that in case VOVOComm has not received the payment from sending international partner(s) , carrier (s) or operator (s) You are committed to make recalculation of traffic.

1.3 Payments

Parties will not present an irrevocable and unconditional letter of credit or a bank guarantee drawn on a financial institution reasonably acceptable to the other party or such other security (hereafter together referred to as the “Security”) but the Parties may agree to secure payments as a condition of the other Party continuing to render any Services.

The Service Provider (s) agree that may not been paid for part or the whole traffic in case that VOVOComm has not received payment (s) from sending international partner (s) or carrier (s).

The payments may be suspend due to several reasons:
– Suspicious traffic that is considered as Fraud, Hacking and etc.
– Suspended payment from the partner carrier (s) or international partner (s).

The service provider (s) agree that VOVOComm may delay some or all payments to the service provider if VOVOComm considers that there is good reason for that.

The service provider (s) agree that VOVOComm is not responsible for any losses if the service provider (s) have been given wrong bank details.

The service providers (s) agree for all taxes and obligations that VOVOComm will have to make in order to send the payment to the service provider (s) and they will be taken from the amount of the service provider (s).

The currency of payments will be EUR, USD and GBP accordingly.

1.4 How international premium rate services work

Premium rate services are provided by service providers, who are responsible for the content, product, services or who act as resellers or aggregators on behalf of a number of such providers.

When an end user make a call to an international premium rate service number, VOVOComm ensures that your call is passed to you and you will receive the call on behalf of the premium rate service provider.

The revenue from the international premium rate call is usually shared between the premium rate service provider, VOVOComm and the Carriers. The premium rate service provider is also responsible for complying with most of the obligations.

On request, VOVOComm can usually provide details of the identity of a premium rate service provider and the telephony company receiving the call on their behalf.

2. Cost for calling international premium rate numbers

End Users will be billed on their standard fixed or mobile telephone bills plan for international calls.

2.1 Revenue for calling international premium rate numbers

Be aware that revenue share to the international premium rate numbers could change from time to time. VOVOComm will provide you with updated rate card.

3. Privacy

VOVOComm Privacy Policy explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that VOVOComm can use such data in accordance with our privacy policies.
Please read careful the Privacy Policy section.

4. Liability

Neither Party shall be liable to the other for any loss or damages whether direct or indirect, sustained by reasons of any failure in the services provided under this Agreement, whatsoever shall be the cause of such failure, and however long such failure shall last.

 

About these Terms

We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict. These terms control the relationship between VOVOComm and you. They do not create any third party beneficiary rights. If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future). If it turns out that a particular term is not enforceable, this will not affect any other terms.
The laws of USA will apply to any disputes arising out of or relating to these terms or the Services.All claims arising out of or relating to these terms or the Services will be litigated exclusively in the court between you and VOVOComm consent to personal jurisdiction in those courts.
